Welcome to Headquarters Health Inc. ("Headquarters Health," "we," "us," or "our"). These Website Terms and Conditions (the "Terms") govern your access to and use of Headquarters Health's websites, mobile applications, patient portals, social‑media pages, and any content, functionality, and services offered through them (collectively, the "Site").
1. Eligibility and Account Registration
1.1 Age Requirement. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Site. Parents or legal guardians may use the Site on behalf of a minor.
1.2 Account Information. If you create an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
2. Not Medical Advice; No Emergency Care
2.1 Informational Purposes Only. Except where expressly stated, content on the Site is provided for general informational purposes and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of your clinician or other qualified health provider with any questions you may have regarding a medical condition.
2.2 Emergency Situations. The Site is not intended for use in medical emergencies. If you believe you are experiencing a medical emergency, call 911 (or your local emergency number) immediately.
3. Telehealth Services
3.1 Separate Agreements. Telehealth consultations, remote monitoring, or other clinical services ("Telehealth Services") provided through the Site are governed by additional informed‑consent documents and service agreements presented at the time of scheduling or onboarding.
3.2 Availability. Telehealth Services may not be available in all jurisdictions and are subject to provider licensure, clinical appropriateness, and scheduling constraints.
3.3 Risks and Benefits. You acknowledge the potential risks and benefits of telehealth as described in our Telehealth Informed Consent form, which you must accept before receiving clinical care.
4. Privacy and Security
4.1 Privacy Compliance. Headquarters Health maintains administrative, technical, and physical safeguards designed to comply with applicable privacy laws. Our use and disclosure of protected health information ("PHI") are described in our Notice of Privacy Practices, incorporated herein by reference.
4.2 Additional Privacy Policies. Your use of the Site is also subject to our Privacy Policy, which explains how we collect, use, and protect non‑PHI personal information. By using the Site, you consent to our privacy practices.
5. Intellectual Property
5.1 Ownership. The Site and all content (including text, graphics, logos, audio, video, software, and other materials) are owned by Headquarters Health or its licensors and are protected by U.S. and international intellectual‑property laws.
5.2 License. Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site for your personal, noncommercial use.
5.3 Prohibited Uses. You may not reproduce, modify, distribute, sell, lease, or create derivative works from the Site or its content except as expressly permitted by us in writing.
6. Payments and Billing
6.1 Pricing. Prices for any paid features or Telehealth Services are displayed at the time of purchase and may change at our discretion.
6.2 Payment Method. You authorize us (or our third‑party payment processor) to charge your selected payment method for all fees incurred. You are responsible for all applicable taxes.
6.3 Insurance Claims. Headquarters Health may, as a courtesy, bill your insurer for covered services. Any amounts not paid by insurance remain your responsibility.
7. Prohibited Conduct
You agree not to:
- Violate any applicable law or regulation.
- Transmit any viruses, malware, or other harmful code.
- Attempt to gain unauthorized access to any portion of the Site, accounts, or systems.
- Harvest or collect information about other users without their consent.
- Use the Site in a manner that could interfere with, disrupt, adversely affect, or inhibit other users.
8. Third‑Party Links and Services
The Site may contain links to third‑party websites or services. Headquarters Health does not endorse, and is not responsible for, such third‑party content, products, or services. Your use of third‑party sites is at your own risk and subject to their terms.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADQUARTERS HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU HAVE PAID TO US FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Headquarters Health and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
12. Modifications to Terms
We may revise these Terms at any time in our sole discretion. If we make material changes, we will post the updated Terms and update the "Last updated" date. Your continued use of the Site after the effective date of revised Terms constitutes acceptance.
13. Governing Law and Dispute Resolution
13.1 Governing Law. These Terms and any dispute arising hereunder are governed by the laws of the State of California, without regard to its conflict‑of‑laws principles.
13.2 Informal Resolution. Before filing any claim, you and Headquarters Health agree to try to resolve the dispute informally by contacting the other party in writing. If the dispute is not resolved within 60 days, either party may proceed as set forth below.
13.3 Arbitration. Any unresolved dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. You waive your right to a jury trial and to participate in class actions.
13.4 Venue. If a dispute is determined by a court to be non‑arbitrable, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
14. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users or us.
15. Miscellaneous
Entire Agreement. These Terms constitute the entire agreement between you and Headquarters Health regarding the Site and supersede all prior agreements.
Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision does not constitute a waiver of future enforcement of that or any other provision.
